Angel investors come from a variety of ages, backgrounds, and professions. I don’t have an MBA and I don’t live in Silicon Valley. million people qualify as accredited investors. However, entrepreneurs still need to approach angel investors offline for larger amounts of capital. I’m not your average angel.

As a native of Silicon Valley , I’ve witnessed the creative destruction of wave after wave of innovation as nearby corporate campuses repopulated themselves : From defense contractors to data centers , computer mainframe manufacturers to Internet search engines. Most of the technology industry is notoriously apolitical.

See how many you have personally experienced already, or are currently mentioned in your business plan: Crowd-sourcing equity. Sites like KickStarter have for years offered rewards and pre-sales for crowd investments, but real equity won’t be legalized until sometime this year for people other than accredited investors.

Angel investors may invest individually or as part of an angel group, which are usually local organizations made up of Accredited Investors*. Some well-known Silicon Valley angel groups are Band of Angels, Sandhill Angels, TIE angels and others. Various terms such as price cap, discount, conversion to equity, etc.,

Split the equity based on prior contributions and expectations going forward, not necessarily equally (see post here ). Only raise funds from “accredited investors” (see post here ) and don’t pay anyone a commission for raising funds for you unless they are a registered broker-dealer (see post here ).

A while back I heard a talk by Dave McClure, a long-time angel investor, who also proclaims to be one of the “new breed” of venture capitalists in Silicon Valley, as CEO of 500Startups , which is either a micro-VC seed fund, or a startup incubator, or both. In any case, it’s time to look again at the options you really have.
