To the best of my knowledge US law allows you to work on your own resources and in your own hours and let you personally own your IP. I don’t know 100% that this is true in all 50 states (if any lawyers read this please put notes in comments section) but I’m pretty darn sure that this is statuary law in California.

Sets the valuation at the time of the investment. It would be helpful to get a California standard employee manual, employee contract/agreements, IP ownership release to company, and confidentiality. It’s nice to have protected IP, but that will mostly matter later on in the event of an acquisition. For consumer web startups, the more traction you show, the better valuation you will get. Patented Technology? Technology also depends on the investor – some would really care about it, others will prefer to see traction.

But its hard to raise money with an IP cloud over your head, becauseinvestors cant judge how serious it is. Before you consummate a startup, ask everyone about their previous IP history. 6] What I didnt grasp at the time was that the valuation wasnt just the value of the code wed written so far. Dont do what we did.
