Even with an agreed initial equity split, it’s smart to have founder’s stock actually issued or vested over a period of at least two years, on a month-by-month basis. The CTO of many technical startups was the original founder. Obviously it should be amended later, as roles are more clearly defined, and execution proceeds.

If you never raise another round of venture capital (a big if) and if your company is sold for the normal venture exit ($50 million on average for 200 or so annually that get sold) then what is your stake? Stock vests for 4 years. So a friend recently called to ask for advice on becoming the CTO of a startup.

If the founder was lucky, he got to stay as chairman or CTO. The founders along with all the other employees would vest their stock over 4 years (earning 1/48 a month). Some founders have three-year vesting. Schmidt had been the CEO of Novell and previously CTO of Sun Microsystems. Filed under: Venture Capital.
