I’ve been an avid reader of Dan’s Term Sheet while he was at Fortune , and now Pro Rata at Axios. Unless every aspect of product development is covered by founders who are only receiving equity, there are other parts of building a product that will require hiring highly qualified people. It’s not the number, it’s the whole term sheet. It’s important, it sets the stage, defines the ballpark, but there’s so much more to term sheets than that number. That means you have to be that sure that that’s the number, regardless of deal structure. Alternatives.

As such, you should make sure to think of the proposals as an investor and get a reasonable term sheet. Out of fairness, that’s why they wanted to hire me, to fix that issue. Not that they were trying to take advantage of me necessarily, but it happened because of the deal structure.
