Over the past six months, my firm has been engaged by a number of startups with significant intellectual property (“IP”) problems. In a couple of cases, the founders played lawyer on their own; in the other cases, the founders either used (i) a Web service that did not address IP issues or (ii) an inexperienced law firm.

Nevertheless, choosing to defer basic corporate housekeeping items can be disastrous in some circumstances, as when the failure to spend a few thousand dollars on legal fees to clarify IP ownership and equity arrangements comes back to bite a successful company to the tune of millions of dollars on the eve of a liquidity event.

Set any vesting schedules and expiration dates on roughly similar terms, if for no other reason just so you can track all of them correctly. Adhering to standard rules and processes, no matter how formally they are documented, can keep the machinery humming. Keep the valuations consistent with company progress. Not really.

Not only are there key contractual issues that must be buttoned-down (like vesting and IP assignment ), but also there is a minefield of laws and regulations that must be complied with. Founders must insist on proper documentation prior to hiring foreigners (which is typically addressed in the offer letter). university.
