Early on in my career I took a “we’re moving too fast to deal with lawyers” attitude to patents and Intellectual Property (IP.) Type of IP. _. Contract, NDA. _. The test for non-obvious is: given the prior art at the time of the invention, would a typical engineer 1) identify the problem, and 2) solve it with the invention?

Non-disclosure agreements, or NDA’s, are vital when you’re disclosing new ideas or information to people outside your business. Without a written agreement, you may find yourself in a tricky ‘we said, they said’ situation with obligations that go way beyond those of the typical NDA.

It would be helpful to get a California standard employee manual, employee contract/agreements, IP ownership release to company, and confidentiality. Standard 1-way/bi-lateral NDA's, standard templates for an employee manual, employee contract/agreements, IP ownership release to company are on my wish-list too.

I had taken classes on IP, first-mover advantage, etc. I hired a lawyer, and he gave us an NDA template and told us that anyone that had knowledge of our proprietary data had to sign it. Vendor long-list - build a “long-list&# of possible software vendors and NDA them all, but don‚Äôt rely on it (more on this later). Our team is 5 engineers, 2 QA and a project manager. Request of Information - Write and run an RFI process to sift your long-list of vendors down to a short-list of between 4 - 10 vendors.
