As an advisor to entrepreneurs, I often have to deal with people who are convinced that they must get me to sign a non-disclosure agreement (NDA) before they begin talks about their new venture. Here are my guidelines for when a signed agreement is required, versus other alternatives: Insist on a two-way NDA for partner negotiations.

We consciously didn’t ask potential customers to sign a Non-Disclosure Agreement (NDA). And we figured that unless litigation was going to be our business strategy, NDA’s would have inhibited the back-and-forth that made us smarter. In Customer Discovery we were learning as much from them as they did from us.

I needed a desk that had features that would give me quick access to a variety of tools; that was large enough for all my mixed media projects; and that was also sturdy enough it could take hammer blows and an occasional brush from a blow torch. Anyone who might have access to your trade secrets should sign an NDA at the beginning of the relationship. It’s likely that a ‘social media mindset’ is present in most of your staff, meaning that they see information sharing as positive and normal.

Now for those who say that this is quite the cynical view of things, I would encourage them for the next seven days to not take in any entertainment media - no movies or television or Internet - nor to appreciate the lovely design of an iPad, and certainly to not gaze fondly on an elegantly dressed and coiffed woman or man.

About Virtuosi Media. Social Media. Sign that person to an NDA if necessary. An NDA – This isn’t a deal-breaker for everyone, but it can be for me, depending on how it’s structured. However, I may be open to a NDA once I hear your initial idea and if the NDA is reasonably structured.

What You Thought It Meant: Giant Awesome Animatronic Porcupine. IPO stands for Initial Public Offering, and is the first sale of a private stock to the public.
