Startups need to understand how to manage the seed money they receive from investors and VCs. Entrepreneurs need to hit a happy medium with backers, not giving away too much but not making overly aggressive demands. They also need to decide whether to structure terms as an equity deal or a convertible security deal.

Chris Dixon provided some commentary on Twitter that he believes I missed “the most important point about fund size.&# He’s specifically referring to his point of view that entrepreneurs shouldn’t take seed money from “big VC’s&# (he defines them as > $100 million). Let me give you an example.

A lawyer I asked about it said: When the company goes public, the SEC will carefully study all prior issuances of stock by the company and demand that it take immediate action to cure any past violations of securities laws. It wasnt because they werent accredited investors that I didntask my parents for seed money, though.
