You race back to the office to tell everybody how well it went and you wait for the follow-up call to have a partners’ meeting or talk about term sheets or at least dip into due diligence. That way when my partners in are in …. there is a reason for us to re-engage because they never met that partner before.

Shame about not getting it in legal writing that you owned the original IP. For a very small fee they can get your Delaware C corp registration, make sure that you have IP protection and ensure you didn’t make an early bumbling mistakes that you’ll pay for dearly in the next 7-10 years of hard work. Get to know them.

While Zappos was doing diligence on Modista, the issue was brought up that one of other companies in this space — Like.com , founded by Munjal Shah — had filed for some IP in this area. However, the IP climate remains unchanged, and it’s likely that other villains will continue to exploit similar situations.

I was speaking with a friend of mine today who mentioned that his term sheet for his Series A round fell through. Well, you can imagine that down the line the company that the co-founder worked for could potentially claim rights to the IP. Today, the IP is about to get assigned in the proper manner.
