My answer was simple – I would have given the early seed investors some percentage of the company as part of the financing. Given the amount raised, the new financing, and the cap, I would have asked the seed investors to waive the terms and instead accept a smaller percentage of the company than they would have otherwise gotten.

There are so many unknowns at this stage and the only known is that the business model is going to change at least once, or in the current most overused term in the Silicon Valley, there will be a "pivot". This feels about right for an early stage angel investment and no reason that the process needs to drag out for months and even weeks.

If the startup is not a scalable high-growth, high-tech firm, but rather is in a sector where venture capitalists are a bit scarcer (for example, real estate, banking and finance, retail, or consumer goods), equity crowdfunding may be a better fit. It is often seed stage investors who help open the doors to all these types of relationships.
