We have developed a formula that we like to use for this purpose. I got this formula from a big compensation consulting firm. But it is based on a common practive in compensation consulting. Then you multiply the employee's base salary by the multiplier to get to a dollar value of equity. Director Level: 0.25x.

Ask anybody what a software developer does and they can give you the one-sentence “makes software” answer. They can make good money consulting or working as an employee of another company. They can easily get great benefits and a six figure salary. Your points are solid. I refused and he left. Good riddance.
