These phases are focused on inorganic growth, mergers, buyouts, acquisitions, and exit preparation for the business. But, in subsequent rounds of funding inflated valuation will be normalized resulting in a down round.

We want money to make some acquisitions (investors would prefer to fund M&A if they know specific deals – not to encourage bad behavior. This is why investors really like SaaS software companies where you have recurring revenue and your largest customer accounts for < 5% of your revenue and your renewals rates are > 90%.

The A round was done in February 2000 (end of the bull market) and my B round was done in April 2001 (bear market). As a result I had to do a down round. Down rounds are psychologically really difficult on companies and can make it harder to do later rounds. I eventually needed more money.

If you’re venture funded, things get kind of ugly -unhappy board members, cut off from communications, down- rounds to keep you going, or no more funding. Are we becoming passé? Time for a new CEO? And all those other depressing clichés. Many early stage founders aren’t sure how to handle this requirement for success.
