I recently wrote a post on angel financing covering the topic of convertible notes but I realized I was thinking about the issue more from investor perspective and a very narrow topic of how to price the round. This post is for those who want to raise angel money. I’ll make my next posting shorter. It creeps people out.

There has been no shortage of controversy and criticism around the convertible note, a popular investing vehicle that’s used by seed stage and angel investors. Most of those companies from the Kinect program are doing great, and many have gone on to raise venture capital or angel financing since the program ended. Companies in the program get $20,000 in funding and help from great mentors in the TechStars community in addition to access to top executives and engineers within Microsoft.

Much of the VC blogosphere commentary about startups covers venture and angel financing with advice focused on company founders. The biggest mistake I see is people going to Series A or B funded startup because they perceive it as “safe” with VC backing, but the only thing *temporarily* derisked is financing.

Earlier, of course, we covered AngelList at length , also a crowd sourcing venture in the angel financing space, and this week, we have covered SecondMarket , which is powering Facebook's private market capital raising. When two out of four pitches in a session are from the same category, it most certainly makes me take notice.

The company is profitable and has so far raised only $400,000 in friends and family and angel financing. At this point, he can grow organically and leverage channel partners and other creative modes of non-equity financing and preserve equity as much as possible.
