The NDA question comes up more than you would think because scrappy entrepreneurs are always looking for collaborators, co-founders, and capital while jealously guarding their ideas. What is a NDA? That being said, a Non-Disclosure Agreement (NDA) is a legal document used to protect ideas, know-how, and other secret sauce under a variety of circumstances. One standard use of a NDA is protecting one company from another during discussions and negotiations.

Non-disclosure agreements, or NDA’s, are vital when you’re disclosing new ideas or information to people outside your business. Before you disclose anything to an outside party, have them sign a confidentiality agreement or a NDA. But if you haven’t, a NDA is vital.

This will only be disclosed when there is an NDA in place. Startups that come to me and ask me to sign an NDA in order to get Free Startup CTO Consulting really are missing it. I don’t want to share my idea because someone might steal it – the benefit of sharing is greater than detriment- investors won’t sign an NDA. Every day I see entrepreneurs trying to find that right balance between keeping their intellectual property confidential while sharing and promoting their business model with partners - especially investors - whose interest they so very much need to pique. My bias generally falls strongly on the side of transparency - both because it is a virtue unto itself - and because it takes a lot of effort in our “post your business on the Internet for all to see” age to truly maintain confidentiality.

But most investors agree : they do not want to sign an NDA. While non-disclosure agreements are designed to protect your ideas, asking potential investors to sign an NDA is generally seen as unnecessary and unwise. Potential investors are not your competition, and asking them to sign an NDA is often interpreted as a sign you don't trust them. As professional integrity is important to VCs, requiring an NDA is generally seen as a violation of business etiquette.

As an advisor to entrepreneurs, I often have to deal with people who are convinced that they must get me to sign a non-disclosure agreement (NDA) before they begin talks about their new venture. Yet I recommend to every entrepreneur that there are still situations where an NDA (sometimes called Confidential Disclosure Agreement) makes sense compared to normal situations, where your risk of losing an investor or advisor is greater than the risk of your idea being compromised.

By unusual coincidence, this week I had a number of different folks ask me to sign NDA s about the new projects theyre working on. But signing an NDA ? I can explain why, but if you saw what Brad Feld or Alexander Muse or Fred Wilson or Joel Spolsky or (my favorite take) Andrew Warner write about why they dont sign NDA s, you can skip the rest of this post. Or some big companies just have a boilerplate NDA that they throw in front of people as a matter of course.
